Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or “client”) and Wayne Daniel Construction LLC (“we,” “us,” or “our”), concerning your access to and use of the Wayne Daniel Construction LLC website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”) and the digital marketing services we provide.

1. Provision of Digital Marketing Services

Wayne Daniel Construction LLC agrees to provide the client with digital marketing services as detailed in a separate Statement of Work (SOW) or service agreement. Services may include, but are not limited to, Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising, Social Media Marketing (SMM), and Content Marketing.

2. Timelines and Deliverables

Project timelines and key deliverables will be outlined in the SOW. While Wayne Daniel Construction LLC will make every effort to meet these timelines, we are not liable for delays caused by the client's failure to provide necessary information, assets, or feedback in a timely manner, or for delays caused by third-party platforms (e.g., search engine algorithm updates).

3. Payment Terms

Payment terms, including fees, invoicing schedules, and payment methods, will be specified in the SOW. Most services are billed on a recurring monthly basis and are payable in advance of the service period. Failure to make timely payments may result in a suspension of services.

4. Client Responsibilities

The client agrees to provide all necessary access to information and digital assets required for Wayne Daniel Construction LLC to perform its services. This may include access to website backends, analytics accounts, social media profiles, and other relevant platforms. The client is responsible for the accuracy and legality of all materials provided to us.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the term of the engagement. This includes business strategies, client data, and campaign performance data.

6. Limitation of Liability

Wayne Daniel Construction LLC will perform its services with reasonable skill and care. However, we do not guarantee specific outcomes or results, as digital marketing performance is subject to factors beyond our direct control (e.g., competitor actions, market changes, algorithm updates). In no event will Wayne Daniel Construction LLC be liable for any lost profits or any indirect, special, incidental, or consequential damages.

7. Termination

Either party may terminate the service agreement with written notice, as specified in the SOW. Upon termination, the client is responsible for all fees incurred up to the date of termination.

8. Modifications to Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason. We will alert you about any changes by updating these terms on the Wayne Daniel Construction LLC site.
